Constitution of Henan Civil Architecture Society

 (Adopted by the 8th Member Congress of Henan Civil Architecture Society on December 21, 2019)

 

Chapter I General rules

Article one  The name of the Association is Henan Civil Engineering Society (referred to as: Henan Civil Engineering Society), the English name is Henan Civil Engineering and Architecture Society（缩写为 HNCEAS），以下简称“本会”。

Our domicile is located in Zhengzhou, Henan Province。

Article 2  本会是由河南省内从事土木建筑领域（包含但不限于科研、教育、开发、生产、管理、应用和服务的）科学研究工作的单位和个人自愿结成的全省性、学术性、非营利性的社会团体，Have independent legal personality，Adhere to the principles of independence, autonomy and democracy。

Article 3  The competent unit of the association is the Science and Technology Association of Henan Province。The Association accepts the business guidance and supervision of the registration administration authority and the competent business unit。

 本会在具体业务上接受Henan Provincial Department of Housing and Urban-Rural Development和Chinese Society of Civil Engineering、Architectural society of China的指导。

第四条 本会坚持中国共产党的全面领导，根据《十大网投在线入口》的规定，设立中国共产党的组织，开展党的活动，为党组织的活动提供必要条件。

Article 5 The purpose of the Association is，Guided by the Thought on Socialism with Chinese Characteristics for a New Era，Unite and organize all members and science and technology workers in the field of civil construction in the province，Remember the original intention and fulfill the mission，认真履行为科技工作者服务、为创新驱动发展服务、为提高全民科学素质服务、为党和政府科学决策服务、为振兴河南、中原更加出彩的职责，To promote the upgrading of civil engineering and construction science and technology，Promote the upgrading of the professional level of civil engineering and construction technology workers，Promote the integration of civil construction science and technology with economic construction，To promote the popularization and dissemination of civil and architectural science and technology knowledge，We will promote better health for all，Make contributions to the construction of socialist material civilization and spiritual civilization。

本会严格遵守宪法、法律、法规和国家政策，践行社会主义核心价值观，遵守社会道德风尚，崇尚科学道德，弘扬社会正气。

Chapter II Business scope

Article 6 Our business scope:

(1) To carry out academic exchanges, organize academic conferences, and promote the high-quality development of disciplines。

2. Supporting scientific research，Study and formulate group standards，Accept a commission，To undertake or participate in the national, local, industry, enterprise and other aspects of technical standards, research and development，承担科技项目、工程项目、科技研究或推广应用成果的科技水平评估、评价、鉴定和科技人员学术水平评估等相关业务，Promotion of science and technology

The transformation of technical results and the promotion of advanced technology。

（三）开展科技咨询、Science and technology service及科技论证，举办科技展览，发挥智库作用，为政府、企事业单位或其他有需求的Organizational structure的科技攻关、创新发展，提供科技论证、研究建议。

（四）开展科技人员继续教育、知识更新、技术培训等工作，为会员和科技工作者技术水平、学术水平提高提供服务。

（五）开展优秀科技成果、学术论文、工程项目、新技术、新产品、新材料、新工艺及其推广应用成果的评估鉴定与推荐应用工作，Lift talents, especially young scientific and technological workers，Provide services for members and scientists to apply for high-level academic honors, scientific and technological awards, and scientific research projects。

（六）Edit and publish学术刊物、学术著作、学术论文集、专业音像制品和科普读物，传播科技信息。

（七）组织会员和科技工作者就行业发展的焦点、热点、难点问题向党和政府提出科技建议，反映会员和科技工作者的意见和合理诉求，促进科学道德和学风建设，维护会员和科技工作者的合法权益。

(8) To complete the work entrusted by the relevant government departments。

Matters within the scope of business that are subject to approval under laws, regulations and other provisions shall be carried out after approval according to law。

Chapter III Members

Article 7  Members of the Association are divided into individual members and unit members。

Article VIII  Anyone who accepts the Articles of Association and meets the following membership requirements may apply for membership。

1. Individual Members

Those who meet one of the following conditions may apply for membership。

（一）具有工程师、建筑师、讲师、助理研究员等中级及以上技术职称（职务），或取得硕士及以上学位的土木建筑领域科技工作者，或取得土木建筑行业注册职业资格。

（二）高等学校本科专业毕业、从事土木建筑技术工作五年及以上，具有相当学术水平和实践工作经验的科技人员。

（三）非高等学校本科专业毕业，从事土木建筑工作七年以上，具有相当学术水平和实 践工作经验或有重大贡献的科技人员。

（四）Leaders and managers who enthusiastically and actively support the work of the society and engage in professional work。

2. Unit members

凡在土木建筑领域具有一定影响，且有加入本会意愿的Organizational structure（单位）均可Apply for membership，成为本会单位会员。作为单位会员的代表人（其本人须是本会Individual member）担任本会理事的所在工作单位，须是本会单位会员。

The ninth article The membership process is:

(1) The applicant has the intention to join the Association and voluntarily submits the application form for membership;

（二）经秘书处进行资格审查，确认符合会员条件者，经本会组织工作委员会（以下简称“组织工委”）审核批准后，由本会秘书处办理注册登记、会费缴纳等手续，颁发会员证。

Article ten The membership card is designed and produced by the Secretariat。

Article 11 Members enjoy the following rights:

1. Individual Members

(1) To have the right to vote and to stand for election;

(2) Have the right to know, make suggestions and supervise the work of the Association;

(3) give priority to participating in the relevant activities organized by the Association;

(IV) priority to obtain relevant academic materials;

(5) Membership is voluntary and withdrawal is free。

2. Unit members

(1) Their deputies have the right to vote and stand for election;

(2) Have the right to know, suggest and supervise the work of the Council;

(3) give priority to participating in the relevant activities organized by the Association;

(IV) priority to obtain relevant academic materials;

(5) may request the Association to give priority to technical advice;

(6) The Association may be requested to assist in organizing various training courses;

(7) Membership is voluntary and withdrawal is free。

Article 12 Members shall perform the following obligations:

1. Individual Members

(1) Abide by the articles of Association and implement the resolutions of the Association;

(2) Safeguard the legitimate rights and interests of the Association;

(3) to complete the work entrusted by the Council;

(4) actively organize the relevant activities of the Association;

  (5) pay dues according to regulations;

  (6) To report the situation to the Council and provide relevant information。

 2. Unit members

(1) Abide by the articles of Association and implement the resolutions of the Association;

(2) Safeguard the legitimate rights and interests of the Association;

(3) Accept and complete the work entrusted by the Association;

（四）积极组织本单位会员及员工参加本会组织的各项有关活动，协助开展Academic exchange和Popularization of science活动；

(5) pay dues according to regulations;

(6) to report the situation to the Council and provide relevant information;

(7) Actively develop individual members in the unit and related units, and assist the Association to do a good job of individual members in the unit。

Article 13 会员有严重违反本章程行为的，经组织工委审核认定，上报理事长工作会议批准、必要时可提交Standing council表决通过后，可给予下列处分：

(1) Warning;

(2) to circulate criticism;

(3) suspension of the exercise of membership rights;

(4) Expulsion。

Article 14 Withdrawal of member。

(1) Members are free to withdraw from the Association, but should notify the Association in writing and return the membership card。

(2) If a member has any of the following circumstances, the Secretariat shall submit it to the Organizing Working Committee for approval, and it shall be deemed as automatically losing its membership。

1.Not registering and paying dues on time;

2.Did not participate in the activities of the Association for 2 consecutive years;

3.No longer meets the membership requirements;

4.Loss of full capacity for civil conduct;

5.Individual members are deprived of political rights。

（三）会员自愿退会、自动丧失会员资格或者被除名后，其在本会相应的职务、权利、义务自行终止。

Article 15 The Association is entrusted by the Architectural Society of China and the Civil Engineering Society of China to recommend senior members。

Chapter IV Organizational structure

Section 1 Members' Congress

Article 16 The highest authority of the Council is the Congress of Members。The functions and powers of the members' Congress are: (1) To formulate and amend the articles of association;

(b) to decide on the development policy and planning of the Association;

(3) To formulate and revise the election methods for members' representatives, directors, executive directors, responsible persons and supervisors;

(4) To elect and remove directors and supervisors;

(5) To formulate and revise the standards for membership dues;

(6) To examine and approve the work report and financial report of the Council;

(7) To examine the work reports of the Board of Supervisors;

(8) Decide on the change and termination of the name;

(9) To decide on other major matters。

Article 17 Each session of the members' Congress 5 年。因特殊情况需要提前或延期换届时，须由理事会表决通过，报Henan Provincial Science and Technology Association审核，经Henan Provincial Civil Affairs Department批准同意。The extension of the term of office shall not exceed 1 year。

本会召开会员代表大会，应当提前15天将拟任Person in charge、会议议题在学会网站、微信公众号向会员公示，公示期为7天。

Article 18 At the proposal of the Council or more than one-third of the members' representatives of the Association, a temporary congress of members' representatives shall be convened。

Article 19 会员代表大会须有三分之二以上会员代表出席方能召开，其决议须具备下列条件方能生效：

（一）制定修改章程，决定更名和终止事宜，制定和修改会费标准，须经到会的会员代表三分之二以上表决通过；其他决议，须经到会的会员代表半数以上表决通过。

(2) For the election of directors, the candidate who obtains the most votes shall be elected, and the number of votes shall not be less than half of the total valid votes。

Article 20 The following matters shall be voted on by secret ballot:

(1) To formulate and amend the articles of association;

(2) To elect and remove directors;

(3) Formulating and revising the standards for membership dues。

Section 2 The Council

Article 21 理事会是会员代表大会的执行机构，在闭会期间领导本会开展日常工作，对会员代表大会负责。

Article 22 The director who is represented by the member of the unit shall be the person in charge of the unit。当单位会员单位需要调整担任理事的代表人时，应以书面形式通知本会；本会核准后亦应以书面形式回复单位会员单位。

Article 23 The responsibilities of the Board are:

(1) implementing the resolutions of the members' Congress;

(2) to decide on the addition, alteration or dismissal of the executive director;

(3) Determining the candidate for the legal representative;

(4) To decide on the establishment and appointment of honorary posts;

(5) to study and deliberate matters relating to the change of the term of office, and to prepare for the holding of a general meeting of members' representatives;

(6) To report work and financial status to the congress of members;

(7) to elect and remove persons in charge;

(8) To lead the work of various organs of the Association;

(9) To review major business activities, disposal of large amounts of property and important foreign-related activities;

(10) To decide on other major matters。

Article 24 The term of office of the Council is the same as that of the General Assembly of Members, and each term is 5 years。If it is necessary to advance or postpone the term change due to special circumstances, it shall be approved by the board of Directors and submitted to the registration administration authority for approval。The period of postponement shall not exceed the maximum1年。

Article 25 理事会会议须有三分之二以上理事出席方能召开，其决议须经到会理事三分之二以上表决通过方能生效。If a director is unable to attend the meeting due to special circumstances, he may appoint a representative in writing to attend the meeting and exercise the right to vote。Executive exampleIf you fail to attend the Board meeting without reason twice, you will automatically lose your membership。

Article 26 理事会选举本会Standing director、Person in charge，应当由得票数多的候选人当选，且得票数不低于总有效票数的三分之二。

The appointment of the Secretary-General of the Council shall be approved by more than two-thirds of the votes of the Council。

Article 27 The Council shall meet at least once a year, and may also be convened by means of correspondence in exceptional circumstances。The conference shall not decide on the change of directors。

The third segment Standing council

Article 28 The Council shall establish a Standing Council, which shall be elected by the Council。The term of office of the Permanent Council is the same as that of the Council。在理事会闭会期间，Standing council行使理事会第一、五、七、八、九、十、十一、十二项的职权，对理事会负责。

Article 29 Standing council须有三分之二以上Standing director出席方能召开，其决议须经到会Standing director三分之二以上表决通过方能生效。If the executive director is unable to attend the meeting due to special circumstances, he may appoint a representative in writing to attend the meeting and exercise the right to vote。

Article 30 The Standing Council shall meet at least once every six months;Special circumstances can also be held in the form of communication。

Article 31 Standing director If you do not attend the meeting of the Executive Council without reason for four times, you will automatically lose the standing director qualification。

Fourth quarter Person in charge

Article 32 The person in charge of the Association as mentioned in these Articles refers to the chairman, vice chairman and secretary general of the Association。

Article 33 The total number of responsible persons of the Association is 5～13 人。The responsible person shall be elected from among the standing directors and shall meet the following conditions:

(1) adhere to the Party's line, principles and policies and possess good political quality;

(b) in the business field and activities of the association has a greater impact;

（三）Not older than At the age of 70, the Secretary-General is full-time;

(4) be in good health, able to work normally and have full capacity for civil conduct;

(5) Be able to faithfully and diligently perform their duties and safeguard the legitimate rights and interests of the Association and its members;

(6) The person in charge of the Association shall not have close relatives;

(7) Other circumstances in which no laws, administrative regulations, rules or state policies provide for such duties。

Article 34 Under any of the following circumstances, he shall not be the person in charge of the Association:

(1) having no or limited capacity for civil conduct;

(2) is or has been subject to criminal punishment for deprivation of political rights;

（三）Once served as the person in charge of a social organization whose registration was revoked and the Registration Certificate of a social organization as a legal person was revoked，And is personally responsible for the illegal acts of the social group，Or served as the head of a banned social organization，It has not expired since the social organization was revoked of registration, revoked the Registration Certificate of social organization legal person, or banned 3 年的；

(4) Other circumstances provided for by laws and administrative regulations。

The person in charge elected or appointed in violation of the provisions of the preceding paragraph shall be invalid。

Article 35 本会Person in charge年龄如超过最高任职年龄的，须经理事会表决通过，报河南省科协审查同意并报Henan Provincial Civil Affairs Department批准后，方可任职。

Article 36 The Chairman of the Association shall exercise the following powers:

(1) To convene and preside over the working meetings of the Board of Directors, the standing Board of Directors and the Chairman;

(2) To check the implementation of the resolutions of the member Congress, the Board of Directors, the Standing Board of Directors and the working meeting of the chairman。

Article 37 The Vice president of the Association assists the Chairman in carrying out the work and completing the matters assigned by the Chairman。

Article 38 The term of office of the head of the Association is the same as that of the Council, and the maximum term of office of the head shall not exceed two terms。因特殊情况需延长任期的，须经会员代表大会三分之二以上会员代表表决通过，并报河南省科协审查同意，经Henan Provincial Civil Affairs Department批准同意后方可任职。

Article 39 本会被罢免或卸任后的理事长，不再履行本会法定代表人的职权，由本会在理事长被罢免或卸任后的 Within 20 days, the change registration shall be completed with the registration administration authority。前任理事长无正当理由不予配合办理法定代表人变更登记的，经本会出示理事会决议及有关证据，可向登记管理机关办理变更登记。

Article 40 The legal representative of the Association shall be the chairman。

When it is necessary for the Vice President to act as the legal representative due to special circumstances，It shall be nominated by the Chairperson，Studied by the chairman's working meeting，The vice chairman who decides to serve as the legal representative;When the chairperson does not nominate or the chairperson is vacant，It shall be jointly nominated by three or more vice chairmen and studied by the Chairman's working meeting，Decides to serve as the legal representative of the vice chairman。

担任本会法定代表人的理事长或经理事长工作会议决定担任本会法定代表人的副理事长，须报呈Henan Provincial Science and Technology Association审查同意并经Henan Provincial Civil Affairs Department批准同意后，方可任职。

The legal representative of the Association signed relevant important documents on behalf of the Association。

The legal representative of the Association shall not concurrently serve as the legal representative of other social organizations。

Article 41 The association shall implement the chairman's working meeting system。The working meeting of the Chairman shall be composed of the Chairman and vice chairmen。

The Secretary-General and Deputy Secretary-General attended the Chairman's working meeting as non-voting delegates。

Article 42 理事长工作会议须有三分之二以上组成人员出席方能召开，其决议须经到会人员三分之二以上表决通过方为有效。

Article 43 The working meeting of the Chairman decides on the following matters and exercises the following functions and powers:

(1) implementing the resolutions of the members' Congress, the Board of Directors and the Standing Board of Directors;

(2) To supervise the implementation of various rules and regulations, annual work plan and annual financial budget of the Association;

(3) to decide on the establishment of branches, offices and entities of the Council;

(4) to examine and appoint the heads of branches, offices and entities;

(5) To lead, guide (inspect and promote) the work of the various organs of the Association;

(6) to examine and approve the internal management system;

(VII) Examine and approve the annual activity plan of the association;

(8) Review and supervise the use of funds of the Association;

(9) To put forward proposals to the Council or the Standing Council;

(10) Other matters to be discussed and decided at the working meeting of the Chairman。

Section 5 Administrative offices and their responsible persons

Article 44 The Council shall have a Secretary-General, who shall be full-time。

(1) Appointment of full-time Secretary-General

1.The person who intends to be appointed as the full-time Secretary General for the current term must be the Vice President who has been elected for the current term。

2.由理事长提出拟聘担任本届专职秘书长人选，经理事长工作会议审核通过后，由理事长聘任、颁发聘书，对理事长负责。

(2) The Secretary-General shall work under the leadership of the Chairman of the Association and exercise the following functions and powers:

1.Carry out the work assigned by the chairman, and implement the resolutions of the working meeting of the Chairman。

2.Organize the preparation of the annual work plan draft, financial budget and final account report of the association, and submit it to the working meeting of the chairman for consideration。

3.Organize and implement the approved annual work plan of the Association。

4.提出拟聘副秘书长人选，交理事长审核批准后方可上岗；负责领导副秘书长开展日常工作。

5.To coordinate and guide the work of branches, direct working agencies and entities of the Association。

6.Liaise with external affairs on behalf of the Association and deal with related daily affairs。

7.Responsible for the daily operation and management of the Association, leading the office (secretariat) of the Association to carry out daily work and sign general documents。

8.To formulate the internal management system of the office (secretariat) and the entity, such as the job posts and corresponding job responsibilities，To formulate employment conditions and remuneration packages for full-time staff，Responsible for the recruitment of full-time staff for various positions，Put forward the list of full-time staff of each job post to be employed after preliminary assessment，After the approval of the chairman，Can be hired。

9.Handle other daily affairs of the Association。

Article 45 Basic establishment 1 to 4 Deputy Secretaries。

(1) Appointment of Deputy Secretary-General

1.The person to be appointed as the Deputy Secretary-General of the current term must be the elected member of the current term。

2.由秘书长提出拟聘担任本届副秘书长人选，经理事长审核批准后，由秘书长聘任、颁发聘书。

(2) The Under-Secretary-General shall work under the leadership of the Secretary-General and carry out the work assigned by the Secretary-General。 (3) According to the needs of the work, the Secretary General shall determine the nature of the post, job duties and remuneration of the Deputy Secretary-General。

Article 46 The secretariat responsible for the daily operation and management of the Association is the substantive office of the Association and carries out professional management。

（一）The secretariat consists of a director, 1-2 deputy directors and a number of full-time staff。 (2) The daily work of the secretariat shall be governed by the director responsibility system under the leadership of the Secretary-General。

（三）秘书处工作岗位设置及相应工作职责、业绩考核办法、专职工作人员聘用条件与薪酬待遇等按理事长工作会议批准的管理细则施行。

Sixth segment Board of supervisors

Article 47 The Board of Supervisors shall be established。Board of supervisors Three supervisors。The term of office of the Board of Supervisors is the same as that of the Board of Directors and may be reappointed, but not more than two terms。

Article 48 Supervisors shall be elected by the members' congress, or appointed by the competent business unit or the registration administration department according to the needs of the work。The responsible person, director, standing director and financial management personnel of the Association and the close relatives of the above-mentioned personnel shall not concurrently serve as supervisors。

Article 49 The Board of supervisors (or supervisors) shall exercise the following functions and powers:

（一）列席理事会议、Standing council议、理事长工作会议，并对理事会议、Standing council议、理事长工作会议决议的事项提出质询和建议；

（二）对理事、Standing director执行本会职务的行为进行监督，对违反法律、行政法规和本会章程或者会员（代表）大会决议的Person in charge、理事、Standing director提出依程序罢免的建议；

(3) To examine the financial reports of the Association, report the work of the Board of Supervisors to the members' congress and put forward proposals;

（四）对Person in charge、理事、Standing director、财务管理人员损害本会利益的行为，及时予以纠正；

(V) to the registration and administration authorities and tax and accounting authorities to reflect the problems existing in the work of the Association;

(6) To decide on other matters to be examined by the Board of Supervisors。

The Board of supervisors shall meet at least once every six months。Board of supervisors会议须有三分之二以上监事出席方能召开，其决议须经到会监事二分之一以上通过方为有效。

Article 50 Board of supervisors发现本会开展活动情况异常，可以进行调查；必要时，聘请会计师事务所等协助其工作。The expenses necessary for the supervisors to exercise their functions and powers shall be borne by the Council。

Article 51 本会Board of supervisors的选举办法、职责、权力、义务及工作方式由《十大网投在线入口》予以规范。Regulations on the Work of the Supervisory Board of Henan Civil Engineering Society shall be formulated (amended) by the Member representative Assembly in accordance with the articles of Association.。

Seventh segment Branch office

Article 52 本会在本章程规定的宗旨和业务范围内，根据工作需要设立Branch office、工作机构，但不设立地域性Branch office。

Article 53 本会的Branch office、工作机构是本会的组成部分，在本会授权的范围内发展会员、开展活动，但不具有法人资格，不另行制定章程，其法律责任由本会承担。

（一）本会各Branch office、代表机构的设立、变更和终止，须经本会理事长工作会议审议通过，并及时向本会业务主管单位Henan Provincial Science and Technology Association和登记管理机关Henan Provincial Civil Affairs Department备案。

（二）本会各Branch office、工作机构开展活动，须使用冠有本会名称的规范全称，且不得超出本会的业务范围。

(3) The branches and working organs of the Association shall not set up branches or working organs under their own organizations。

（四）The financial affairs and accounts of all branches and working organizations of the Association shall be under the unified management of the Association。

（五）The branch offices of the Council shall adopt a committee system。The Chairman, Vice-chairmen and standing members shall be elected by the committee through democratic consultation to form the Standing Committee。Each term of office of the Committee 5 年。

（六）本会在年度工作报告中将各Branch office、工作机构的有关情况报送登记管理机关，接受年度检查；同时，将有关信息及时向社会公开，自觉接受社会监督。

Article 54 本会各Branch office、工作机构的设立、变更和终止，Person in charge选举办法、职责、权力、义务及工作方式由《十大靠谱网投平台》予以规范。《十大靠谱网投平台》由会员代表大会依据本会章程制定（修改）。

Eighth section Honorary positions and others

Article 55 曾任本会理事长或中国科学院、中国工程院院士或学术威望高、影响大的国内著名专家、学者，Approved by the Board of Governors，可聘请担任本会名誉理事长；曾担任本会副理事长或对本会有重大贡献的Standing director或学术威望高、影响大的国内著名专家、学者，Approved by the Board of Governors，Can be hired as a consultant of the Association。

Article 56 The election results of the directors, standing directors and responsible persons of the Association shall be in It shall be submitted to the registration authority for record within 20 days。

Article 57 本会理事会、Standing council、理事长工作会议按照《十大网投在线入口》的规定工作。

Article 58 会员代表大会、理事会、Standing council、理事长工作会议应当制作会议记录；形成决议的，应当制作成书面文件，并由Person in charge审阅、签名。

Chapter Five Party building, clean government building, integrity and self-discipline building

Article 59 本会按照《十大网投在线入口》和《十大网投在线入口》及有关规定建立党委。The superior Party organization of the unit is the CPC Henan Provincial Housing and Urban-Rural Development Department Organ Committee。

Article 60 本会党组织按照《十大网投在线入口》及有关规定开展组织活动，按期进行换届选举，自觉接受上级党组织的指导。

Article 61 本会严格执行社会组织党风廉政建设和反腐败的有关规定和诚信自律承诺制度，主动签署自律承诺书并向社会公开，强化责任落实，确保对社会承诺事项的兑现。

Article 62 本会为明确廉洁诚信建设责任，由会员代表大会根据党的十八大、十九大精神、习近平新时代中国特色社会主义思想和本会章程，制定（修改）《十大网投在线入口》，规范行为。

Act 6 Information disclosure

Article 63 Every year 5 月 31 日前，通过登记管理机关统一的信息平台报送上一年度工作报告，参加年度检查，并向社会公开。

Article 64 The annual work report includes:

(a) the basic situation of the association;

(B) the Association's compliance with laws, regulations, rules and national policies

(3) Activities carried out in accordance with the Articles of Association

(4) changes in personnel and institutions;

(5) financial and accounting reports;

(6) Other information required by the registration administration authority。

Article 65 涉及国家秘密、商业秘密、个人隐私的信息及捐赠人不同意公开的姓名、名称、住所、通讯方式等信息，不公开。

Act 7 Principles of asset management and use

Article 66 Source of property:

(1) membership fee;

(2) social donations;

(3) Government funding;

(4) service income;

(5) interest on deposits;

(6) other lawful income。

Article 67 本会实行会员制，按照本会章程的规定，向会员收取会费，并由会员代表大会制定《十大靠谱网投平台》。

Article 68 本会财产（含合法的业务收入）用于为会员服务、章程规定的业务范围内活动的开展和本会事业发展、行政办公支出及专职人员的薪酬支出，不得作为红利分配在会员中分配。

Article 69 We accept donations and grants。

(1) The term, method and use of donations and financial aid must conform to the purposes and business scope stipulated in the Association's articles of Association。

（二）本会接受的捐赠、资助，应根据与捐赠人、资助人约定的期限、方式和用途，依法合规使用。

（三）We accept donations and grants及其使用情况，应及时向业务主管单位Henan Provincial Science and Technology Association和登记管理机关Henan Provincial Civil Affairs Department报告。

(4) The Association does not accept donations and subsidies that violate laws, administrative regulations and social ethics。

Article 70 Property management of the Association。

（一）本会按照国家统一的会计制度确定严格的本会财务管理制度，制定财务会计报告，健全内控机制，规范使用票据，接受财政部门和会员代表大会、Board of supervisors的监督。Ensure that the accounting information is legal, true, accurate and complete。

(2) If the property comes from the state or social donations or subsidies, it shall be subject to the supervision of the audit institution。

(3) All financial revenues and expenditures of the Association shall be incorporated into the bank account opened by the Association, and no other organization or individual bank account shall be used。

（四）本会招聘具有专业资格的财会人员或委托具有资质的会计师事务所对本会财产进行管理。An accountant shall not concurrently serve as a teller。When the accounting personnel are transferred to work or leave the office, they must accept the audit and clear the handover formalities with the receiver。

Article 71 Before the change of the legal representative or the change of the financial leader, the financial audit must be carried out。

Article 72 本会全部资产及其增值均为本会所有，任何单位、个人不得侵占、私分和挪用，也不得在会员中分配。

Article 73 The remuneration, insurance and welfare benefits of the full-time staff of the Institute shall be implemented in accordance with Article 46 of the Articles of Association。

Act 8 Charter amendment procedure

Article 74 对本会章程的修改，由理事会表决通过，报业务主管单位和登记机关预审后，提交会员代表大会审议。

Article 75 本会修改的章程，经会员代表大会到会会员代表三分之二以上表决通过后，经业务主管单位审查同意之日起 Within 30 days, it shall take effect after being submitted to the registration and administration authority for approval。

Act 9 Termination proceedings and disposal of property after termination

Article 76 If the Association completes its purpose or dissolves itself, or needs to be cancelled due to division, merger or other reasons, the Council shall put forward a motion for termination。经会员代表大会三分之二以上代表同意，报业务主管单位审查同意，向社会团体登记管理机关申请注销登记。

Article 77 本会终止前，须在业务主管单位及有关机关指导下成立清算组织，清理债权债务、处理善后事宜。During the liquidation period, no activities other than liquidation shall be carried out。

Article 78 The association shall terminate upon the cancellation of registration by the registration and administration authority of the association。 第七十九条 本会终止后的剩余财产，在业务主管单位和社团登记管理机关的监督下，按照国家有关规定，用于发展与本会宗旨相关的事业。

Act 10 附则

Article 80 The logo of the Association is composed of the logo of the organization and the Chinese name of the association。

 

 

 

 

 

标志主体元素，是两个相对放置的斗拱剪影图案，共同组合成“中”字；会名字体，由《十大靠谱网投平台》中掇字组成；主色，为中国古建用大漆朱砂红。本会标志，显示鲜明的行业属 性，体现深厚的文化内涵，突出深厚地域历史文化积淀，彰显本会秉初心赓续传统，担使命开创未来的立会宗旨。

Article 81 The power of interpretation of this Constitution belongs to the Council of the Association。

Article 82 每年 5 月最后一周的周六为“Henan Civil Architecture Society会员日”，旨在结合当年“全国科技工作者日”（每年 5 月 30 日）活动主题与各项中心工作，同步开展相应活动，以实现为会员服务的宗旨和职责。

Article 83 条本章程经本会第八届会员代表大会表决通过，自社团登记管理机关Henan Provincial Civil Affairs Department核准之日起生效。
